This Mutual Non-Disclosure Agreement is entered into between NN, Inc. and Allied Components GmbH, effective Feb 04, 2024, governing all Confidential Information exchanged in connection with potential supply collaboration.
Section 4 — Term & Termination. This Agreement shall remain in force for an initial period of three (3) years and shall automatically renew for successive one-year terms unless either party provides written notice at least 30 days prior to expiration.
Section 7 — Confidentiality Period. Each party shall maintain the Confidential Information of the other in strict confidence for a period of three (3) years following termination, except for trade secrets which shall be held in confidence indefinitely.
Section 11 — Governing Law. This Agreement shall be governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Exclusive venue lies in Oakland County courts.
